Welcome to Gorilla Vibe – F.Z.C. (license No. 53251, registered at Ajman Free Zone C1 Building, Premises No. B.C. 1307285). These terms and conditions form the strategic framework for our partnership. They outline how we work, what you can expect from us, and what we expect from you. By engaging our services, you join our tribe and agree to abide by these terms, our Privacy Policy, and our Refund Policy.
1. Acceptance of Terms
Our services are offered subject to your acceptance of these Terms & Conditions and all related policies. By purchasing or using our services you confirm that you have read, understood, and agree to be bound by this document.
2. Changes
Markets evolve, and so does Gorilla Vibe. We may modify these terms at our discretion. When we do, we'll post the updated version and revise the effective date. Your continued use of our services after any update constitutes your acceptance of the new terms, so we encourage you to review them regularly.
3. Definitions
- Contractor (Gorilla Vibe) – The Gorilla Vibe—F.Z.C., a Free Zone Company registered in Ajman Free Zone, United Arab Emirates.
- Customer – Any individual or entity ordering services by signing an invoice or paying through our portal.
- Agreement– The contract formed between Gorilla Vibe and the Customer consisting of these Terms & Conditions and the invoice.
- Services – The marketing and consulting services specified in your invoice and described in our marketing subscription guide.
- Party – Gorilla Vibe or the Customer individually; Parties means both together.
- Business Day – Any day other than Friday, Saturday, or UAE public holidays.
- Intellectual Property Rights – All rights relating to copyrights, trademarks, patents, trade secrets, and similar proprietary rights throughout the world.
4. Procedure for Entering into Force
4.1
We publish these Terms & Conditions on our website. This publication constitutes an offer to enter into an agreement. When you pay the invoice, you accept our offer.
4.2
Acceptance occurs when we receive your advance payment; no physical signature is required. By paying, you confirm that you accept these terms, our Privacy Policy, and Refund Policy without modification.
4.3
All payments are considered prepayments unless otherwise stated in writing. Failure to pay may result in suspension or termination of services.
5. Scope of the Terms & Conditions
5.1
We provide digital marketing and consulting services as described in your invoice. We reserve the right to determine the methods, channels, and strategies used to fulfill our obligations. The key aspects of each project can be outlined in the invoice or in your 90‑day roadmap.
5.2
The Customer must supply all necessary information and materials (such as brand assets, content, and access to advertising accounts) within three business days of our request. Delays may prolong our delivery timeline.
5.3
We may engage trusted freelancers or third‑party providers to execute parts of the Services. Gorilla Vibe remains responsible for the deliverables and will ensure all subcontractors assign their intellectual property rights to us.
5.4
Onboarding period. Following receipt of your payment, we undertake a five‑business‑day onboarding period to prepare for high‑quality delivery. This includes building your custom 90‑day roadmap and aligning on priorities.
6. Rights and Obligations of the Parties
6.1Gorilla Vibe's Rights
- We may refuse instructions that would violate applicable laws or regulations.
- We may suspend or terminate services if you fail to meet your obligations.
- We may extend delivery timelines if you delay providing required information.
6.2Gorilla Vibe's Obligations
- Render services at the level and within the timeframe specified in your invoice, subject to full payment and compliance.
- Maintain the confidentiality of any information you provide.
- Assign the rights to the work product to you upon payment (see Section 8).
6.3Customer's Rights
- Receive services described in your invoice, provided you have fulfilled all payment and cooperation obligations.
- Unilaterally terminate the agreement by giving us at least 10 calendar days' notice. If you terminate after work has commenced, we may deduct the value of services already provided from any refund.
6.4Customer's Obligations
- Pay for the services in accordance with the invoice.
- Provide all necessary information, access, and materials upon request.
- Respect our systems and refrain from activities that could disrupt our software or compromise network security.
- Maintain confidentiality regarding information you receive from us.
6.5Liability
Both Parties are responsible for any failure to perform or improper performance of their obligations under these Terms, subject to the governing law.
7. Payment for the Services
7.1Cost of Services
The cost of our services is determined by our price list or agreed upon in writing via email, messaging platforms, or our online chat. For subscription clients, the price corresponds to your selected Vibe Hours tier, as described in your subscription guide. Each Vibe Hour is billed at USD 45 unless otherwise stated in your invoice. Long‑term subscriptions may receive discounts as defined in our internal pricing model.
7.2Payment Terms
Payment must be made on a 100% prepayment basis. We accept non‑cash bank transfers, online transfers, or other payment methods specified in your invoice. Your payment is deemed received when the funds reach our bank account or wallet. Any bank or payment processing fees are your responsibility.
7.3Subscription Renewal and Overage
Unused Vibe Hours automatically roll over to the next billing period only if your subscription is renewed. If your subscription lapses, any unused hours expire and are non‑refundable. Should you exceed your monthly allocation, additional hours are billed at our standard rate, and your tier may be automatically upgraded to ensure you receive the best rate.
7.4Onboarding Fee
Our onboarding phase is billable; the hours spent preparing your 90‑day roadmap and integrating your accounts are deducted from your Vibe Hours bucket.
8. Intellectual Property Rights
8.1
Upon full payment and acceptance of the deliverables, the Customer acquires all intellectual property rights in the work product, including rights to reproduce, distribute, adapt, and publicly display the work. No additional documents are required for the transfer of rights. The transfer applies globally and for the entire duration of the rights.
8.2
The cost of intellectual property rights is included in the service fee. We warrant that all rights we transfer are free from encumbrances and that our contractors have assigned their rights to us.
8.3
You may modify, adapt or publish the work product as needed, provided such modifications do not harm our reputation.
8.4
Influencer budget payments are made at your own risk; influencers are not our employees.
9. Disclaimer of Warranties and Limitation of Liability
9.1
The services are provided "as is." We make no other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non‑infringement.
9.2
Except for our indemnity obligations, Gorilla Vibe shall not be liable for any special, indirect, incidental or consequential damages, even if you have been advised of the possibility of such damages. Our total liability under this agreement shall not exceed the amount you paid us for the services giving rise to the claim.
10. Indemnity and Warranty
10.1
You agree to indemnify and hold harmless Gorilla Vibe and our directors, officers, employees, agents, and successors from any claims, damages, or expenses arising out of your breach of these Terms or your infringement of third‑party rights.
10.2
You represent and warrant that neither you nor your executives or owners are subject to sanctions or legal restrictions that would prohibit us from doing business with you. If you become subject to such restrictions, you must notify us immediately, and we may terminate the agreement with immediate effect.
10.3
Each Party warrants that it has full authority to enter into this agreement and that doing so does not conflict with any other agreement.
11. Miscellaneous
11.1Entire Agreement
These Terms & Conditions, together with the Privacy Policy, Refund Policy, and any invoice, constitute the entire agreement between the Parties.
11.2Governing Law and Jurisdiction
This agreement is governed by the laws of the United Arab Emirates. Any disputes shall be settled by the courts of Ajman Free Zone unless the parties agree otherwise.
11.3Notice
All claims and formal notices must be sent in writing by registered mail or email to our official contact address. We will respond within 20 business days.
11.4Electronic Signatures
Electronic signatures and digital documents shall be treated as originals.
11.5Communication

11.6Reference
You grant Gorilla Vibe the right to reference you as our client and to use your logo in our marketing materials on a royalty‑free basis.
11.7Severability
If any provision of these terms is found invalid or unenforceable, the remaining provisions will continue in effect.
11.8Assignment
You may not assign this agreement without our prior written consent; we may assign our rights to a third party.
11.9Force Majeure
Neither Party is liable for delays or failures caused by events beyond their reasonable control. The affected Party shall notify the other and take reasonable steps to mitigate the impact.
11.10Survival
Provisions that by their nature should survive termination—including confidentiality, indemnity, limitation of liability, and intellectual property—shall survive.
11.11No Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other.
11.12Refund Policy
- You may request a refund within seven (7) calendar days of payment.
- We may deduct a 5% service fee from the refunded amount.
- After the seven‑day period, payments become non‑refundable.
- We may deny a refund request in cases of fraud, abuse, resale of services, or violation of our refund process.
- To request a refund, contact us at billing@thegorillavibe.com using the subject "Refund request" and include your company name, payment date, and service name.
- Any work that has been done from our side or any hours spent for the work will be charged based on the main hour rate.
11.13Marketing Subscription Terms
Unused hours in your marketing subscription roll over only if the subscription is renewed. If the subscription expires without renewal, unused hours are forfeited and non‑refundable. Each subscription period commences upon your acceptance of the work plan and renews automatically on the next day after the current period ends, provided payment is received. Unused hours are billed at the standard rate.
